RESTAURANT MEMBERSHIP TERMS AND CONDITIONS

 

 

These Terms and Conditions together with Terms and Conditions of Website use and the Badge Terms of Use govern your Membership of the Sustainable Restaurant Association (The SRA).  The SRA may terminate membership of Members who disregard or otherwise do not conform to these Terms and Conditions, according to Clause 12 on termination of membership.

 

DEFINITIONS

 

In these terms and conditions the following words shall bear the following meaning:

  • Account Manager: The named person allocated to a Member restaurant as their first point of contact at The SRA.

  • Audit: The bespoke management survey, customer and employee questionnaire, evidence gathering and report, developed by the SRA.

  • Badge: The materials developed by The SRA to communicate the sustainability status of Member restaurants to the public. These include the window sticker and electronic image.

  • Charter: The SRA statement of principles.

  • Champion: An SRA Member who has taken an Audit and been awarded Gold, Silver or Bronze status by the SRA.

  • Key Action: The list of actions covering our 14 sustainability areas. Restaurants are required to commit to three of these in order to become Members.

  • Member: Any restaurant, or chain of restaurants who has signed their Membership form, signed the Pledge, agreed their three Key Actions with their Account Manager and paid their Membership fees.
  • Pre-Member: A Member who has not yet signed the SRA Pledge and agreed their three Key Actions with their Account Manager. Pre-Members are also bound by these Terms and Conditions.
  • Membership fees: The fees payable by Members to maintain their Membership status

  • Membership Year: The Membership Year will run for 12 months from the receipt of the signed Membership form, or receipt of payment, whichever is earliest.

  • Quarter date: The regular date on which quarterly Membership falls due.

  • Partners: The third party organisations who are recognised by The SRA as key supporters.

  • Audit means the bespoke management, customer and employee questionnaire, evidence gathering and report, developed by the SRA

  • Pledge: The Pledge made by Members to operate according to the SRA Charter, and committing the Member to the three Key Actions.

  • Suppliers: Third party organisations identified by the SRA whose products or services may be useful for Members, and who appear on the online supplier directory.

  • The SRA: The Sustainable Restaurant Association Limited, as set out in Clause 1

  • Welcome Pack: The written materials received by new Members

     

TERMS AND CONDITIONS

 

1. The SRA

The SRA is a Membership organisation for UK restaurants. Its objective is to make sustainability simple and to ensure that those restaurants that make an effort are rewarded. It is a not for profit social enterprise, guaranteed by shares. Our registered address is:

2. The SRA Membership

Applications for Membership of The SRA are to be made either via our online Member Registration or by completing and sending a signed application form to The SRA Postal Address, or a scanned copy via email or fax. By submitting the application form online the Member is deemed to have signed the application form and whether applying online or in written form, the Member is deemed to have agreed to these Membership Terms and Conditions.

A restaurant or chain may be accepted as a pre-Member upon receipt by The SRA of the application and the appropriate Membership fee as per the fee schedule on the Website.

Pre-Members are entitled to all Membership services but will not receive and cannot use the “We’re at the table” Member Badge and will not be submitted to Partner guides for listing.

For a pre-Member to become a full Member they must sign the SRA Pledge and commit to three of the Key Actions from the Key Actions list, in agreement with their Account Manager.

To maintain full Membership, a Member must provide evidence that they have completed the three Key Actions that they committed to in the preceeding Membership Year, and they must commit to an additional three Key Actions from the list for the next Membership Year, to the satisfaction of their Account Manager.

The SRA reserves the right to reject any application for Membership, as it sees fit, without having to give any reason. 

We may change these Membership Terms at any time without giving notice, so please check them whenever you complete any Membership Application Form (even if you are merely renewing an existing Membership). Amended Terms and Conditions are deemed to bind all Members upon their posting on the SRA Website.


3. Membership Services

Access to the Membership Services is limited to restaurants which have been accepted by The SRA as Members.

The scope of services provided by The SRA shall be exclusively determined by The SRA management and may change from time to time and without notice.

It is intended that Membership of The SRA shall entitle Members to telephone support on sustainability issues, written information, both printed and online through the Website, invitations to sustainability events and courses and the opportunity to take a sustainability Audit and achieve sustainability Champion status.

Members will be listed in the Restaurant Directory on the SRA Website, and Members are required to ensure that details provided to the SRA for inclusion on the Restaurant Directory are, and remain, up to date and accurate.

Members will be provided with the SRA Badge in electronic format and as a window sticker. Members are required to use the Badge in accordance with the Badge Terms of Use (please see Clause 8 below).


4. Restrictions on Membership

Members are required to conduct their business in compliance with all applicable legislation and industry standards, in addition to the principles set out in the SRA Charter. Members are required not to do anything which might damage the reputation of the Member, and by association the SRA.

Members are prohibited from making any defamatory (or potentially defamatory) comment about the SRA (or its Partners or other Members) both during, and after termination of, Membership.

Members may only use the Badge, and refer to their Membership of the SRA in accordance with the Badge Terms of Use.

Members are prohibited from claiming a higher level of Membership than that awarded to them by the SRA.

 

5. Accuracy of Information, Warranties and Disclaimer

We try to ensure that any information and content provided through telephone support, or in written form is accurate, but we make no representation and give no warranty that any information or content is accurate, up to date or complete. We accept no liability for any loss or damage caused by inaccurate information or content, or any actions taken by the Member following information provided by the SRA in any form.

If any Member finds or receives any inaccurate, out of date or incomplete information or content, or if it suspects that something is an infringement of intellectual property rights, it must let us know immediately by contacting The SRA.

Members are required to have appropriate insurance in place.

 

6. Third Party Goods, Services and Links

 

The SRA may from time to time use information, or suggest goods and services from third party suppliers. If the Member uses this information or purchases or acquires goods or services from any third parties, even if the Member has been directed by the SRA Account Manager or from the website to them, any contract entered into with those third parties and any use made of their website is a matter between the Member and the third parties. We have no liability for the quality or type of services or goods provided by any third party we may mention on this website or to whom this site may be linked. It is for the Member to make its own judgement about them. 

Any opinion, advice, statement, service, offer, or information or content provided or made by any third party on this website, or on any site to which this site is linked, is that of the author or provider, and not of The SRA. The SRA does not endorse, and is not responsible for, the accuracy or reliability of, any such opinion, advice, statement, service, offer, information or content.


7. Intellectual Property Rights

The content, information and services provided by the SRA, either in written form or verbal is protected by copyright, database rights and other intellectual property rights. 

Members may read, print and download parts of the material and information provided by the SRA in electronic and hard copy, including, but not limited to, the Welcome Pack and the Website, for their private use or use in the ordinary course of the Member's business, but Members may not make any profit from the use of that material or information nor republish, disseminate or transmit any of it, or exploit it for commercial purposes, or make any derivative work, or copy it for any other purpose without first obtaining our written permission, or that of the rights owner.

Members are prohibited from using any brand of (or similar to) those of the SRA other than the Badge (in accordance with Clause 8), and from registering or attempting to register any such brand.

All rights in the brands of the SRA, including the Badge, are reserved to it.


8. Use of the SRA Badges

Full Members are entitled to use the SRA “We’re at the Table” Badge in accordance with the Badges Rules for Use.

Audited Members who have achieved the necessary thresholds are awarded a Champion Badge according to their level which they are entitled to display on their premises and in marketing material in accordance with the Badges Rules of Use.

As soon as anyone ceases to be a Member, for any reason, it must stop using The SRA Badges, and must immediately remove them from its business stationery, promotional materials, Website and premises. This applies even where specific written permission to use them has been given in the past. The SRA will not be liable for any costs incurred in removing the Badges from its materials, including, but not limited to, its business premises, marketing materials and Website and written materials such as menus.

 

9. Audit

Members shall have the opportunity to take an Audit which will provide a full assessment of their sustainability and the chance to achieve Champion status. Achieving Champion status will entitle the Member to display an SRA Champion Badge on their premises and in marketing material in accordance with the Badges Terms of Use

The Audit shall be comprised of a management questionnaire, employee questionnaire and customer questionnaire, evidence collection and a report.

The Audit shall be arranged by the Member with their Account Manager and the evidence collection and report shall be carried out by a third party.

The audit process shall be governed by its own terms and conditions and shall attract an additional charge, listed in the fees schedule on the website.


10. Data Protection and Privacy

We want to protect the privacy of visitors to our website and that of our customers and other individuals. Please read our Privacy Policy; it will help you to understand how we use your personal data. We may change our privacy policy at any time without giving you notice, so please check it each time you visit this website. 

Whenever you give us personal data, you are consenting to its collection and use in accordance with our Privacy Policy.


11. Fees and Payment

The Membership fee covers access to the Membership services outlined in Clause 3, for the duration of the Membership. In addition Members are required to pay a one-off joining fee. There are additional fees relating to the Audit, additional Welcome Packs and consultancy services and Members are required to pay for these additional services. Details of all fees are outlined in the fees section of the Website. 

The Membership Fees payable are those in force at the date and time the Membership Application Form is accepted by The SRA. We may change the Membership Fees at any time, and any variance in fees between the time the application was sent and when it is received by the SRA will be communicated to the Member.

Members undertake and warrant that all details provided to us for the purpose of joining The SRA are correct, that the credit or debit card or bank account used belongs to the Member or the person submitting the Membership Application Form on behalf of the Member and that there are sufficient funds or credit facilities to cover the Membership Fees.

Members may opt to pay either on a quarterly basis or annually in advance.  In both cases Membership shall start upon satisfactory receipt by The SRA of the completed application form and the first or annual payment.  The Membership year shall start from the receipt of the signed Membership form, or receipt of payment, whichever is earliest.

Membership Fees quoted are exclusive of Value Added Tax and all similar taxes or duties. Members are required to pay VAT on top of the quoted Membership and other fees.

If the Member fails to make any payment when due under these Membership Terms, we may suspend access to any or all of the Membership Services until the payment is made, without prejudice to any other rights or remedies we may have. We reserve the right to charge interest in the event of late payment of Membership fees.

Members may withdraw from Membership by giving notice in writing three months before the expiry of their subscription year. In default of giving such notice Members shall be liable to pay the whole of the subscription for the following year.

Fees for any additional services shall be agreed on a case by case basis following a quote from The SRA.


12. Termination of Membership

A Member shall remain a Member for as long as it adheres to the Membership Terms and Conditions and pays its annual Membership fees, and other fees as set out in Clause 11.

The SRA retains the right to terminate Membership on notice for breach of any of these Terms and Conditions, as well as in the event of insolvency, or other event judged by the SRA to result in the Member being unable to fulfill its Membership obligations.

In the event of termination of Membership for any reason, the Member must terminate all use of the Badge according to the Badge Terms of Use and make no reference to itself as a Member of the SRA. The Member must return all materials relating to its Membership, including, but not limited to, the Welcome Pack. The SRA will cancel the Member’s user name and password for the Website.

In the event of termination of Membership, the conditions set out in Clause 4 will survive, namely, Members are prohibited from making any defamatory (or potentially defamatory) comment about the SRA (or its Partners or other Members).


 

13. General

No delay, neglect or forbearance on our part in enforcing any provision of these Membership Terms will be, or be deemed to be, a waiver or in any way prejudice any of our rights. 

If any provision of these Membership Terms is (for any reason), held to be unenforceable, illegal or invalid in some other way, the unenforceable, illegal or invalid provision will not affect the remainder of these Membership Terms, and they will continue in full force and effect. 

These Membership Terms are governed by English law and the Member agrees to submit to the non-exclusive jurisdiction of the courts of England and Wales. The place of performance will be England. 

No addition to or modification of any provision of these Membership Terms will be binding on The SRA unless made in writing and signed by its duly authorised representatives. 

These Membership Terms together with our Terms for the Use of The SRA badges, any Service-Specific Terms, our Privacy Policy, our website terms and conditions of use, the Membership Application Form, and any payment method instructions, contain the entire agreement and understanding between The SRA and the Member. They supersede any earlier agreements, understandings or arrangements (whether oral and written) relating to the subject matter of these Membership Terms. The Member acknowledges that it is not joining The SRA on the basis of any statement, representation, warranty or other provision except those expressly contained or referred to in these Membership Terms. Nothing in this Condition limits or excludes SRA’s liability for fraud. 

The Member may not assign, sub-license or otherwise transfer any of its rights or obligations as a member. 

Nothing in these Membership Terms confers or purports to confer on anyone except the Member any right under the Contracts (Rights of Third Parties) Act 1999 or in any other way to enforce any of these Membership Terms.

The Membership does not constitute any form of agency relationship, and it does not render any employee of the restaurant Member an employee of the SRA.
